B2B Terms of Service

2 October 2026

Terms of Service of the School Plan (B2B)

Product: Kluppy — School Plan
Last updated: October 2026
Version: 2.0

This document governs the purchase of Kluppy licences by schools and other organisations (School Plan, B2B), whether through a quote or from the administration panel. It supplements the General Terms and Conditions and, in the event of conflict, prevails over them in all matters relating to the institutional modality.

It replaces the "B2B Terms of Service" of May 2026 and the "Terms and Conditions of the School Plan" (version 1.3), which until now were two separate texts. Schools in the United Kingdom and the United States that purchase in pounds sterling or US dollars are governed by their own terms. English translation of the Spanish original; in the event of any discrepancy, the Spanish version prevails.

1. Parties to the contract

Service provider:

KLUPPY, S.L.
Tax ID (CIF): B75131953
Registered office: Mikeletegi pasealekua 65 (Planta Baja, Local 1), 20009, Donostia - San Sebastián, Gipuzkoa
Registro Mercantil de Guipuzcoa, Tomo 2693, Folio 44, Hoja Registral (Hoja nº) 37422, Sección 8, Inscripción 2
Email: info@kluppy.com

Hereinafter, "Kluppy", "we" or "the Provider".

Client:

The School or other legal entity (association, company, institution) purchasing the School Plan, represented by the person who accepts these Terms on its behalf.

Hereinafter, "the School", "the Client" or "the Institution".

2. Subject matter of the contract

Under these Terms, Kluppy undertakes to provide the School with access to its typing learning platform under the School Plan, which includes:

The price, the number of licences, the start date and the duration are set in the accepted quote or in the order the School places from its panel.

Optional modules. The School may also purchase, from its panel, the Competency Assessment, My Library and Dictations modules. Each is governed by its own terms (Assessment, My Library, Dictations), which the School's administration accepts electronically when activating it, and by the price shown in the panel at that time.

3. Contracting, capacity and representation

3.1. Capacity and representation

The representative of the School who accepts these Terms expressly declares that:

  1. They have the legal capacity to contract on behalf of the institution.
  2. They act with the authorisation of the holder of the School or of whoever holds its legal representation.
  3. The institutional data provided is truthful, accurate and complete.

If the signatory does not have sufficient capacity, the School shall remain liable for the obligations assumed.

3.2. Quotes and orders

3.3. Acceptance

The School accepts these Terms and the Data Processing Agreement (DPA) by ticking the acceptance box and paying the quote or the order or, where Kluppy has granted deferred payment, by starting the service from its panel. Kluppy keeps a record of the documents accepted, their version and the date.

3.4. When an entity other than the School pays

If the payer is another entity (a parents' association, a local council, a foundation), the invoice is issued in its name, but the Client and the controller of the data remains the School. If the price is split between two payers, the service is activated once both have paid their share.

4. Licence modalities

4.1. Available pack types

Pack Licences included Description
Individual Licence 1 student One licence per student account
Classroom Pack 35 students Package designed for a full class group
Campus 1000 1,000 students Global licence for the entire school

Packs are cumulative with each other and with individual licences.

4.2. Teacher and administrator access

Teachers and administrators of the School do not consume student licences, unless the School decides that one of those accounts should also practise as a student.

4.3. Free trial period

Schools may try Kluppy free of charge and with no obligation to buy. The trial includes:

When the trial ends without a paid plan being purchased, the students' accounts are blocked; teachers and administrators keep their access to the panel. Data and progress are kept for 180 days, in case the School purchases a plan, and after that the trial school and all its accounts are permanently deleted.

5. Seat-based licence system

5.1. Assignment model

Purchased licences are added to the School's available pool. The School's administrator assigns them by means of:

Each student added consumes one licence from the pool. An invitation that has been sent reserves a licence until it is accepted or cancelled. When there are no free licences left, the access code stops admitting students and the new accounts the School creates are created blocked until a licence is assigned to them (clause 5.4).

5.2. Reassignment period (90-day cooldown)

In order to ensure fair use and prevent abusive licence rotation, a reassignment period of 90 calendar days (hereinafter, the "cooldown") applies after a licence is withdrawn from a student.

During the cooldown:

The status of the licences (in use, reserved by invitations, in cooldown and available) can be seen at any time in the administration panel, under My Organization → Students.

5.3. Exceptions to the cooldown

Scenario Effect
Correction within the first 48 hours If the licence is withdrawn less than 48 hours after it was assigned, it returns to the pool immediately.
Return to the same student The School may give the licence back at any time to the same student it was withdrawn from.
Purchase after the trial Cooldowns opened during the free trial are cancelled when the School purchases a plan.
End of the contracted period All pending cooldowns are cancelled. Licences are not reassigned: they expire with the contract.
Administrative error or duplicate account Kluppy may, upon a substantiated request from the School, release a licence from the cooldown early. This exception is at Kluppy's discretion.

5.4. Effects on student data

When a licence is withdrawn from a student:

6. Billing and payment

6.1. Contracted period and renewal

Licences are valid for 12 months from the service start date. That date appears in the quote; the School may choose to start on the day of payment, and may also bring the start forward or delay it by up to 30 days. Until the start date, students cannot sign in.

The contract does not renew automatically: there are no recurring charges. To continue, the School renews from its panel (Billing) or with a new quote. A renewal paid before expiry starts when the current period ends and lasts another 12 months.

6.2. Payment and invoices

6.3. Prices and taxes

Prices are expressed in euros (€) and do not include taxes. The applicable prices are those stated in the quote or shown in the panel at the time of purchase, and they do not change during a period already contracted. VAT, or the applicable indirect tax, is applied in accordance with current regulations and the School's place of establishment: the quote and the invoice state the tax applied in each case. The School is responsible for providing its correct tax details.

6.4. Licence expansion (upgrade)

The School may purchase additional licences at any time during the contracted period, from its panel or with a quote, provided it has no outstanding payments. The new licences are added to the existing pool and share the expiry date of the current period. The price is prorated for the days remaining until that date.

6.5. Licence reduction (downgrade)

It is not possible to reduce the number of licences contracted during the current period or to request a partial refund. If the School needs fewer licences for the following period, it may renew for a smaller quantity.

6.6. Renewal reminders

Kluppy notifies the School's administrator by email when 90, 30, 15 and 5 days remain before expiry, and again when the period has ended. The notices stop if the School has already paid for the following period.

6.7. Expiry without renewal

If the School does not renew before the expiry date:

6.8. Non-payment

6.9. Optional modules

Optional modules (clause 2) are purchased and paid for separately from the panel. Those priced per licence are prorated for the months remaining until the licences expire and end with them; the Dictations module works with credits. Deactivating a module does not give rise to a refund.

7. Obligations of the School

The School undertakes to:

  1. Obtain the parental consent required for the use of the platform by students under 14 years of age, in accordance with Art. 7 of the LOPDGDD.
  2. Inform students and their families about the educational nature of the data processing and provide access to Kluppy's Privacy Policy upon request.
  3. Designate at least one administrator responsible for licence and user management.
  4. Not share access credentials between different users.
  5. Notify Kluppy of any cessation of activity, change of ownership or material modification affecting the contract.
  6. Not use Kluppy's metrics as the sole or primary basis for the official assessment or academic grading of students (see Clause 9).

8. Obligations of Kluppy

Kluppy undertakes to:

  1. Provide the service with a minimum monthly availability of 99%, excluding scheduled maintenance, incidents at infrastructure providers and force majeure events.
  2. Notify scheduled maintenance at least 48 hours in advance by email and notice on the platform.
  3. Maintain the security measures described in the Privacy Policy.
  4. Provide technical support by email and from the administration panel.
  5. Retain the School's data for the duration of the contract and for the legally required periods following its termination.
  6. Notify the School, without undue delay after becoming aware of it, of any security breach affecting its data, providing the information required by Art. 33(3) GDPR (nature of the breach, categories and approximate number of data subjects concerned, likely consequences and measures taken) so that the School, as Controller, can meet its own obligation to notify the supervisory authority within the period laid down in Art. 33(1) GDPR.

9. Use of Artificial Intelligence and AI Act compliance

Kluppy uses generative AI systems (currently Vertex AI / Google Gemini) exclusively for the generation of educational typing texts. In addition, it turns into audio, with the synthetic voice of an external provider (clause 10.4), its tutorial scripts, the application's instructions and, where the School activates the Dictations module, the texts written by its teaching staff.

9.1. Risk classification

Kluppy is classified as a limited risk system under Regulation (EU) 2024/1689 (AI Act), as it constitutes a merely auxiliary system to the educational process.

9.2. Prohibition of evaluative use

It is strictly prohibited for the School, its teachers or any third party to use the metrics generated by Kluppy (speed, accuracy, progress, level) as the sole or primary basis for:

The use of Kluppy for official assessment purposes would transform the system into a high-risk one (Annex III of the AI Act), the regulatory compliance burden in that case falling exclusively on the School.

9.3. AI transparency

Kluppy identifies AI-generated content in its interfaces, in accordance with Art. 50 of Regulation (EU) 2024/1689: texts generated on the spot, tutorials and the synthetic voice of tutorials and dictations carry a visible label. Practice texts come, as a general rule, from an AI system, whether they are generated on the spot or served from Kluppy's shared library (clause 9.7).

9.4. What the AI system receives

Generation requests carry only technical parameters: the level, the language, the permitted characters, the length and the keys that need reinforcing, including those the student finds hardest. They do not carry the student's name, their identifier or what the student types. Texts are always generated on Kluppy's servers: students do not chat with any AI system or give it instructions.

9.5. No training on the School's data

Kluppy does not use the activity data of the School's users (keystrokes, errors, typed texts, performance metrics) to train or improve artificial intelligence models, whether its own or third parties'. That data is used only to calculate the metrics, adapt the difficulty to each student's level and produce the School's reports.

9.6. Quality and limits of the texts

The texts are produced with a technology that may occasionally give inaccurate or inappropriate results. Kluppy applies automatic safety and quality filters before showing them, but cannot guarantee the complete absence of inappropriate content. Any user can flag an inappropriate text from the exercise screen; Kluppy reviews it and removes it where appropriate. The texts do not represent Kluppy's opinions and are not official curricular material.

9.7. Shared library

So that exercises load without waiting, Kluppy stores the generated texts in a library and reuses them across schools that share the same level and language. Those texts contain no personal data. Texts written by the School's teaching staff (My Library, Dictations) do not enter that library.

9.8. Continuity and reasonable use

AI generation depends on third-party services. If they are unavailable, Kluppy serves texts from its library or composes them with its own generator, so that exercises are not interrupted. Kluppy may limit the generation of new texts if it detects disproportionate or abusive use; in that case exercises remain available with texts from the library.

10. Data protection (DPA)

10.1. Roles in the processing

Within the framework of this contract:

Party GDPR Role
The School Controller of the personal data of its students
Kluppy Processor (Art. 28 GDPR)

The relationship is governed by the Data Processing Agreement (DPA), which forms part of these Terms. In matters of data protection, in the event of contradiction, the DPA prevails.

10.2. Processing instructions

Kluppy shall process student data exclusively in accordance with the School's instructions and for the purpose of providing the contracted educational service. Kluppy shall not process such data for its own purposes nor disclose it to unauthorised third parties.

10.3. Security measures

Kluppy applies the technical and organisational measures described in the Privacy Policy, including AES-256 encryption at rest, TLS in transit, role-based access control and storage in the EU region (eur3: Belgium/Netherlands).

10.4. Sub-processors

Kluppy uses the following sub-processors for the provision of the service:

Sub-processor Service Location
Google Cloud / Firebase Storage, processing and authentication EU (eur3: Belgium/Netherlands)
Google Vertex AI AI text generation (no personal data) EU (eu multi-region)
Google Workspace / Classroom Directory import (optional, initiated by the School) EU
Microsoft (Azure AD / Entra ID) Authentication and directory import Ireland (EU)
Stripe Payment gateway Ireland (EU)
Holded Invoicing Spain
Mailjet Transactional emails EU
ElevenLabs Voice synthesis of tutorials, instructions and dictations (receives only the text, no personal data) United States
Elhuyar Fundazioa Voice synthesis in Basque (receives only the text, no personal data) Spain

The School authorises the use of these sub-processors. Each sub-processor is bound in writing by the same data protection obligations as are imposed on Kluppy, and Kluppy remains fully liable to the School for the performance of its sub-processors (Art. 28(4) GDPR). Should any material changes be made to this list, Kluppy shall notify the School at least 30 days in advance, and the School may object on legitimate data protection grounds.

10.5. Data subject rights

Kluppy shall provide the School with the necessary means to handle requests for the exercise of rights (access, rectification, erasure, portability) submitted by students or their guardians.

10.6. Return and deletion of data

Upon termination of the contract, and at the School's choice, Kluppy shall return or delete all personal data processed on behalf of the School (Art. 28(3)(g) GDPR). The School may download the lists and reports of its students from its panel, and Kluppy shall provide, on request, a full export in a structured format. Unless return or earlier deletion is instructed, once 180 days have elapsed from expiry without renewal Kluppy shall permanently delete the data and existing copies, unless a legal obligation to retain them exists (for example, invoices).

11. Limitation of liability

11.1. Exclusion of warranties

The service is provided "as is". Kluppy does not guarantee specific educational outcomes nor that the service will be free from errors.

11.2. Liability cap

To the maximum extent permitted by law, Kluppy's total liability to the School shall be limited to the total amount invoiced in the 12 months preceding the event giving rise to the claim.

11.3. Exclusions

Kluppy shall not be liable for:

12. Confidentiality

Each party undertakes to keep in strict confidence the commercial, technical and operational information of the other party to which it has had access by virtue of this contract. This obligation shall persist for 3 years following the termination of the contract.

13. Duration and termination

13.1. Duration

The contract has the duration of the contracted period (12 months from the service start date). It expires automatically, without the need for prior notice, if it is not renewed.

13.2. Termination for breach

Either party may terminate the contract early if the other party commits a material breach and fails to remedy it within 15 business days from formal notification. Kluppy may also suspend access immediately if it detects fraudulent activity or a risk to the security of the service, or if an authority so requires.

13.3. Consequences of termination

Upon termination of the contract:

13.4. Cancellation at the School's request

The School may stop using Kluppy at any time and request the cancellation of its school and the deletion of its data. The unused part of the period is not refunded.

14. Applicable law and jurisdiction

This contract is governed by Spanish law, in particular:

For the resolution of disputes arising from this contract, the parties expressly submit to the Courts of Donostia-San Sebastián, waiving any other jurisdiction.

15. Amendments

Kluppy reserves the right to update these Terms. Material changes shall be notified to the School at least 30 days in advance by email and by notice in the administration panel. Continued use of the service following notification shall constitute acceptance of the new Terms.

16. Intellectual property

The platform, its curriculum, its design, its code and its content are the property of Kluppy or its licensors. During the contracted period, the School and its users receive a non-exclusive, non-transferable right of use, limited to educational use within the platform.

The students' data, their results and the reports produced from them are the School's data: Kluppy claims no rights over them. Texts written by the School's teaching staff remain their authors'.

17. Communications

The School agrees to receive the communications necessary for the provision of the service (payment confirmations, invoices, renewal and expiry reminders, security and maintenance notices). Kluppy will not send commercial communications without prior consent.

18. Severability and entire agreement

If any provision of these Terms is declared void, the remaining provisions shall remain fully valid.

These Terms, together with the accepted quote or order, the Data Processing Agreement (DPA), the terms of the modules the School activates, the General Terms and Conditions and the Privacy Policy, constitute the entire agreement between the School and Kluppy regarding the School Plan.
