Terms of Service for Schools — United Kingdom and United States
Version: 1.2
Last updated: October 2026
These Terms apply to schools and other educational institutions located in the United Kingdom or the United States that use Kluppy under a quote issued in pounds sterling (GBP) or US dollars (USD), or under a free trial offered to them. US public school districts and other US public bodies contract only through a separate written agreement signed before any student account is activated (clause 4.6). Schools in Spain and in the rest of the European Union are governed by the B2B Terms of Service.
1. The parties

Hereinafter, "Kluppy", "we" or "us".
Customer:
The school, academy trust, school district or other legal entity named in the Quote or in the trial request as the customer, represented by the person who accepts these Terms on its behalf.
Hereinafter, "the School".
2. Definitions
- Quote: the commercial offer issued by Kluppy with a unique reference (format QT-YYYYMMDD-XXXX), stating the customer, the plan, the number of student licences, the price and currency, the start date and any specific conditions.
- Service: access to the Kluppy typing-learning platform and its related features, as described in clause 3 and Schedule 1.
- Licence: the right for one student to use the Service on behalf of the School during the Subscription Period.
- Subscription Period or Subscription Year: the period for which the Licences are purchased (12 months unless the Quote states otherwise).
- Authorised Users: the students, teachers and administrators the School allows to use the Service.
- School Account: an account created by or for the School for an Authorised User. An account that a user already held on their own before joining the School is dealt with in clause 5.2.
- School Data: personal data and other information about the School and its Authorised Users that Kluppy processes to provide the Service, including progress reports and statistics.
- Data Addenda: the UK Data Processing Addendum for schools in the United Kingdom and the Student Data Privacy Addendum for schools in the United States.
- DPA: Kluppy's Data Processing Agreement, in its English version.
- Schedule 1: the description of the Service's features and the personal data each one uses, at the end of these Terms.
- Terms Package: these Terms, Schedule 1, the Data Addendum for the School's country and the DPA.
3. The Service
Kluppy is an educational technology platform for learning and improving touch typing. Depending on the School's plan, the Service includes:
- access to the platform for the School's Authorised Users;
- an administration panel to manage users, groups, licences and statistics;
- typing exercises, some of them generated with artificial intelligence (clause 12);
- class mode, assignable tasks, and head-to-head games and leagues in which students appear only under an alias (Schedule 1);
- where the School activates them, the dictation and school library features and the assessment module;
- bulk user import (CSV, Google Workspace/Classroom, Microsoft 365 and, optionally, analysis of an uploaded document);
- progress reports and statistics for the School's users;
- technical support by email and support tickets.
Schedule 1 describes, for each feature, the personal data used, the providers involved, where the data is processed and how long it is kept. Teachers and administrators do not use student Licences.
4. Acceptance, documents and order of precedence
4.1. Quotes
Each Quote identifies the customer and states the plan, the number of student Licences, the unit and total price, the currency, the start date and any specific conditions. Quotes are valid for 30 calendar days from the date of issue unless the Quote says otherwise.
4.2. Acceptance
Before acceptance, Kluppy makes the Terms Package available to the School through links on the Quote, on the payment page and in the trial request. The School accepts the Quote and the Terms Package when a person authorised to act on its behalf:
- states their name and position, ticks the acceptance box and completes payment on the secure payment page linked from the Quote; or
- signs the Quote or an order form that refers to these Terms, and Kluppy confirms it in writing (email is sufficient).
Kluppy keeps a record of each acceptance: the School, the name and position of the person accepting, the date, and the documents accepted with their version and a fingerprint of their text. The versions accepted apply throughout the Subscription Period, subject to clause 20. On request, Kluppy will send the School a copy of that record and of the documents accepted.
4.3. Purchase orders
A purchase order is accepted for the School's administrative purposes only. A purchase order does not by itself accept the Terms Package or establish the authority of the person issuing it. Terms printed on, attached to or referred to in a purchase order do not apply unless both parties agree to them in a written document signed by an authorised representative of each party. If the School needs its own terms, the parties must agree them in that way before the Service starts.
The School may give its purchase order number on the payment page. Kluppy records it with the acceptance and quotes it on the invoice.
4.4. Authority
The person accepting confirms that they are authorised to do so on behalf of the School and that the details provided are accurate and complete. This confirmation does not replace any approval the School's own rules require.
4.5. Order of precedence
Personal data. For matters relating to personal data, the following order applies: (1) mandatory law and any mandatory transfer clauses that apply; (2) the Data Addendum for the School's country; (3) Schedule 1; (4) the DPA; (5) these Terms. A Quote cannot reduce those protections. A later agreement signed by both parties may amend a data protection provision only by identifying it expressly and only to the extent permitted by applicable law.
Other matters. For all other matters: (1) a written agreement signed by both parties; (2) the specific conditions of the Quote; (3) these Terms; (4) the general Terms and Conditions of Use.
Language and other documents. The English-language documents of the Terms Package govern this agreement, notwithstanding any statement in the DPA that another language version prevails. The general Terms and Conditions of Use govern each individual user's use of the platform; between the School and Kluppy they apply only to matters these Terms do not deal with and only to the extent consistent with them, and provisions written for consumers or on the classification of AI systems do not apply. The Privacy Policy informs about the processing Kluppy carries out as a controller; it does not extend the purposes for which Kluppy may use School Data.
4.6. Public bodies
United States. US public school districts, charter schools established as public bodies and other US public bodies require a separate written agreement, including the applicable student data terms, signed by authorised representatives of both parties before any student account is activated. Payment, a purchase order or use of the Service does not by itself establish contracting authority or override applicable procurement requirements. Until that agreement is signed, Kluppy will not activate student accounts for them.
United Kingdom. Maintained schools, academies and other UK public bodies may use these Terms when accepted by a person authorised under their own rules. If their procurement rules require their own terms or approval by a governing body, the School must tell Kluppy before accepting, and the parties will sign a separate written agreement before the Service starts, which prevails.
5. Licences and users
5.1. Assignment
Once the Quote is paid, the Licences are added to the School's available pool. The School's administrator assigns them by:
- creating accounts in the administration panel, one by one or in bulk;
- inviting users by email;
- sharing the School's access code;
- importing users as described in Schedule 1.
Each student added to the School uses one Licence, and an invitation that has been sent reserves one until it is accepted or cancelled. When the pool is empty, the access code stops admitting students, and any new student accounts the School creates are created blocked until a Licence is assigned to them; if 180 days go by without one, they are deleted.
5.2. Withdrawing a licence from a student
When the School withdraws a Licence from a student:
- the account is blocked immediately: the student can no longer sign in;
- the account remains a School Account, under the School's control and instructions. It is not converted into a personal account and its data is not transferred to any consumer service;
- the School can restore the student during the following 180 days without losing the student's progress, or delete the account at any time (clause 13.6);
- unless the School restores or deletes it earlier, Kluppy deletes the account and its data 180 days after the withdrawal;
- to ensure fair use, the Licence is blocked for 90 calendar days and then returns to the pool. This waiting period does not apply if the Licence is withdrawn within 48 hours of being assigned, or if the School gives it back to the same student.
In exceptional circumstances (administrative error, duplicate accounts), Kluppy may release a Licence early at the School's justified request.
Accounts the user already held. If the account already belonged to the user before joining the School (the user pays for a subscription of their own, or the School neither created nor imported the account and the user had been using it on their own for more than seven days before joining), it is not a School Account. When the School withdraws the Licence, that account returns to its holder as a personal account under Kluppy's consumer terms and Privacy Policy, and the School stops seeing its data.
5.3. Continuing outside the School
A student or family who wishes to keep using Kluppy outside the School must create a separate personal account, under Kluppy's consumer terms and with the consent required by law, including verifiable parental consent where COPPA requires it. School Data is transferred to a personal account only on the School's documented instruction and only where the law allows it.
5.4. End of the Subscription Period
At the end of the Subscription Period all Licences expire. Licences do not carry over to a later period.
6. Free trial
Where Kluppy offers one, the School may try the Service free of charge for 30 calendar days. If the trial accompanies a Quote, the 30 days count from the moment Kluppy creates it. If the School opens the trial itself from the website, they count from the first student's sign-in, with a maximum of 60 days from sign-up. The trial includes:
- up to 25 users;
- access up to level 10 of the curriculum;
- the full administration panel;
- AI-generated content subject to a daily usage limit per school;
- class mode, assignable tasks, head-to-head games and leagues.
The Terms Package applies from the moment the trial is activated and before any student account is created, except the provisions on prices and payment.
At the end of the trial, unless the School purchases a paid plan, the students' accounts are blocked; teachers and administrators keep their access to the administration panel. The trial accounts remain School Accounts: they are not converted into personal accounts. Their data is kept, without being used for any other purpose, so that the School can resume if it purchases a plan, and the trial school and all its accounts are deleted 180 days after the end of the trial unless the School instructs earlier deletion.
7. Prices, taxes and payment
7.1. Prices and currency
Prices are those stated in the Quote, in pounds sterling (GBP) for schools in the United Kingdom or in US dollars (USD) for schools in the United States. Prices are fixed for the Subscription Period covered by the Quote. Kluppy may change its prices for new Quotes and renewals, giving at least 30 days' notice before a renewal.
7.2. Taxes
Prices exclude VAT, sales, use and similar taxes. The tax treatment of each supply depends on the law that applies to it and on the School's status and location:
- where the law requires Kluppy to charge a tax, Kluppy will add it to the invoice;
- where the School must account for a tax itself (for example, under a reverse-charge mechanism), the School is responsible for doing so;
- a School that claims an exemption must provide the documentation the law requires (for example, a valid exemption certificate).
The School must provide correct tax details (for example, its UK VAT number, its EIN or an exemption certificate) and tell Kluppy if they change.
Withholding. The School may make any deduction or withholding of tax that the law requires. It shall notify Kluppy promptly, before paying where possible, and shall provide evidence that the amount withheld has been paid to the tax authority. Any increase of the price so that Kluppy receives the full amount (gross-up) applies only if the Quote expressly provides for it and the law allows it.
7.3. Payment methods
Payments are processed by Stripe, a PCI-DSS Level 1 certified payment provider. Kluppy never stores card details. The Quote is paid before the Service starts, on the secure payment page linked from the Quote:
- by debit or credit card, or other methods shown on the payment page; or
- by bank transfer to the local account details provided on the payment page (sort code and account number in the United Kingdom; routing number and account number for ACH or domestic wire in the United States), using the payment reference shown. The Service is activated when the funds arrive.
Payment after the Service has started (payment against an invoice with a later due date) is available only where Kluppy agrees to it in a written agreement signed by both parties, which states the due date.
Bank charges on the School's side, including any intermediary bank charges, are borne by the School.
7.4. Invoices
Invoices are issued by KLUPPY, S.L. in the currency of the Quote, under Spanish invoicing rules (including the Basque TicketBAI system), and are sent to the email address given in the Quote.
- The invoice is issued once payment is received. A School that needs a document to arrange the payment may use the Quote, which states the supplier, the price and the currency, together with the payment details shown on the payment page.
- Where the parties have agreed payment against an invoice, Kluppy issues the invoice when the agreement is signed, and the due date is the one agreed or, if none is stated, 30 days from the invoice date. An invoice cannot shorten the agreed due date.
7.5. Late payment
The ordinary contract is paid in advance: until payment is received, the Service is not activated. If a payment is returned or reversed in full (a full refund, or a payment dispute resolved against Kluppy), the Service ends.
Where the parties have agreed payment against an invoice and the School does not pay an undisputed amount by the due date:
- Days 1–20 after the due date: Kluppy sends payment reminders to the School's contacts.
- Day 21: Kluppy may pause the students' access, after notifying the School's administrator. Teachers and administrators keep their access to the administration panel.
- Day 28: Kluppy may terminate the subscription and release the Licences, notifying the School.
If the School disputes an amount in good faith, it shall tell Kluppy in writing before the due date, explaining why, and pay the undisputed part. Kluppy will not suspend or terminate for the disputed amount while the parties try to resolve the dispute in good faith. During a suspension, the School may still obtain an export of its data and Kluppy continues to help it respond to data protection requests. The School's data is kept so that the account can be reactivated once payment is made, and is otherwise dealt with under clause 13.6.
7.6. Refunds
Payments are non-refundable, except:
- where Kluppy has charged an amount in error;
- where the School terminates for Kluppy's uncured material breach (clause 16.3) or under clause 20; or
- where these Terms or the law provide otherwise.
8. Term, renewal and expiry
8.1. Term
Licences last 12 months from the start date stated in the Quote or, if none is stated, from the confirmation of payment, unless the Quote states a different period. Until the start date, students cannot sign in.
8.2. Renewal
Renewal is not automatic: there are no recurring charges. The School renews by accepting a new Quote, which Kluppy issues at its request, before the expiry date. Kluppy sends renewal reminders to the School's administrator 90, 30, 15 and 5 days before expiry, and again when the period has ended.
8.3. Expiry without renewal
If the School does not renew before the expiry date:
- all Licences expire and the students' accounts are blocked: they cannot sign in;
- teachers and administrators keep their access to the administration panel, to consult and download the data and to renew;
- the School Accounts are not converted into personal accounts;
- the School's data is kept, without being used for any other purpose, and deleted as described in clause 13.6;
- if the School renews before its data is deleted, its data is restored.
9. Adding and reducing licences
9.1. Adding licences
The School may ask Kluppy for additional Licences at any time during the Subscription Period. Kluppy issues a new Quote for them in the same currency. Additional Licences share the same expiry date and are charged pro rata for the days remaining until that date.
9.2. Reducing licences
The number of Licences cannot be reduced during the Subscription Period, and no partial refunds are given for a reduction, without prejudice to clause 7.6. The School may buy a smaller plan for the next period.
10. The School's responsibilities
The School shall:
- Appoint at least one administrator to manage Licences and users.
- Ensure that Authorised Users keep their credentials confidential and do not share accounts.
- Have a valid legal basis for the use of the Service with its students and give students and families the information required by law about the processing of their data (see clause 13).
- Use the Service lawfully and only for educational purposes.
- Not use Kluppy's metrics as the sole or main basis for official assessments, grades or decisions that significantly affect a student (clause 11.3).
- Not enter special categories of personal data, or other sensitive information about students, in free-text fields (such as teacher observations, school library texts or dictation texts).
- Tell Kluppy about any change of ownership, closure or other change that materially affects these Terms.
11. Intellectual property
11.1. Kluppy's platform
All elements of the platform (design, code, texts, graphics, logos, structure, curriculum and adaptive algorithms) belong to Kluppy or its licensors and are protected by intellectual property law. The School receives a non-exclusive, non-transferable right to use the Service during the Subscription Period, for its own educational purposes.
11.2. AI-generated exercise texts
Exercise texts generated by artificial intelligence are created for typing practice. Their use is limited to the context of the platform. Kluppy may limit AI text generation if it detects disproportionate, massive or abusive use (fair use).
11.3. Limits on the use of metrics
Kluppy provides performance metrics (typing speed, accuracy, progress) for guidance only. They must not be used as the sole or main basis for official assessments, grades or decisions that significantly affect a student.
11.4. School Data
School Data remains under the School's control, and Kluppy acquires no ownership of it. Progress reports, performance statistics and analytics generated from the activity of the School's users are School Data. The School may use the reports and exports it obtains from the Service for its own educational and administrative purposes, also after the end of the Service. Nothing in these Terms limits the rights that students and their parents or guardians have under applicable law.
12. Artificial intelligence
12.1. Where Kluppy uses AI
Kluppy uses generative AI models (Google Vertex AI — Gemini, in an EU region) in the following features. Schedule 1 states the data each one uses.
a) Exercise texts. Kluppy generates typing texts adapted to the level and language settings. The requests contain no names, email addresses or account identifiers; for adaptive practice they may include the letters a student finds difficult.
b) Document analysis for user import (administrators, optional). An administrator may upload a document so that the AI extracts the names and email addresses of the users to be created. The content of the document is sent to the AI for that purpose. The School may instead import users by CSV or from its directory.
c) School library and dictation (teachers, where activated). Texts written or uploaded by teachers are checked by the AI for suitability and, for dictation, converted into audio by a speech provider (ElevenLabs, in the United States, or Elhuyar, in Spain, for Basque). The speech provider receives only the text and the voice settings: no names, identifiers or account data. The panel reminds teachers of this next to the dictation text field.
d) Support. Kluppy's support team may use the AI to suggest draft replies to messages the School sends to support. A member of Kluppy's team reviews every reply before it is sent.
The assessment module's evidence reports do not use AI: they apply deterministic, auditable rules to the recorded measurements.
12.2. What the AI does not do
- Students do not use conversational AI or request content from the AI. Exercise texts are generated on Kluppy's servers and filtered before being shown.
- The AI does not assess students, grade them or take decisions about them. Adaptive difficulty adjusts the exercises offered according to the student's performance and has no other effect.
- Kluppy does not create engagement, risk or behavioural scores about the School's students for its own purposes.
12.3. No training on School Data
Kluppy does not use School Data to train, fine-tune or improve any artificial intelligence model, whether its own or a third party's.
- Google (Vertex AI) processes Kluppy's requests under terms that prohibit it from using them to train its models.
- The speech provider receives only the text to be turned into audio, which must not contain personal data (clause 10 and Schedule 1). Kluppy keeps switched off the provider's option to use that text to improve its models.
12.4. Limits of generated content
The School acknowledges that AI-generated texts:
a) may occasionally be inaccurate or inappropriate, although they go through automated quality and safety filters;
b) do not represent the opinions of Kluppy or its staff;
c) are not official educational material and do not replace the School's curriculum.
Any user can report an inappropriate text from the exercise itself, and the School can also report it through support, for review and removal. Exercise texts contain no personal data and may be reused across schools that share the same level and language settings. If the AI provider is unavailable, Kluppy builds the exercise on its own servers from its word lists, without AI, so that the typing exercises are not interrupted.
13. Data protection and student privacy
13.1. Roles
The School is the controller of the personal data of its Authorised Users and decides the purposes for which the Service is used. Kluppy processes that data only on the School's behalf and on its documented instructions, to provide the Service, under the Data Addendum for the School's country, Schedule 1 and the DPA, which form part of these Terms.
Kluppy is an independent controller, under its Privacy Policy, only of the personal data of the School's staff and payers that it processes for its own purposes: billing and payment, invoicing and tax obligations, contract management and communications about the Service.
13.2. United Kingdom
For schools in the United Kingdom, Kluppy acts as the School's processor under UK data protection law, on the terms of the UK Data Processing Addendum.
13.3. United States
For private and independent schools in the United States, the Student Data Privacy Addendum sets out how Kluppy acts under FERPA where FERPA applies to the School, how Kluppy meets its obligations as an operator under COPPA when relying on the School's authorisation, how the parties deal with state student privacy laws, and Kluppy's commitments on the use, security and deletion of Student Data. Public bodies contract under clause 4.6.
13.4. Kluppy's commitments
Kluppy:
- does not sell School Data or share it for advertising;
- does not use School Data for targeted advertising or to build profiles for non-educational purposes;
- applies the technical and organisational security measures described in Annex II of the DPA;
- notifies the School of any personal data breach affecting School Data without undue delay and in any event sends an initial notice within 48 hours of becoming aware of it, or sooner where the law requires. The initial notice is not delayed until the investigation is complete, and Kluppy sends updates as further information becomes available;
- helps the School respond to requests from students or their parents or guardians to access, correct, delete or export their data, including through the tools of the administration panel.
13.5. Location of the data and sub-processors
School Data is stored in the European Economic Area. Schedule 1 and Annex III of the DPA list the sub-processors Kluppy uses, the data each one processes and where. Kluppy keeps an up-to-date register of each recipient, the data concerned, the countries from which it is processed or accessed and the transfer mechanism relied on, and gives it to the School on request.
Kluppy will notify the School of any intended addition or replacement of a sub-processor at least 30 days in advance. If the School objects on reasonable data protection grounds, the parties will look in good faith for an alternative. If Kluppy cannot offer one, the School may terminate the affected part of the Service before the change applies to its data and receive a pro-rata refund of prepaid fees for the unused period.
13.6. Return and deletion of data
During the Service.
- The School's administrators can permanently delete a student's account and data at any time from the administration panel, without waiting period: the account, progress, statistics, achievements, files and data in the social features. Where the account has a life of its own beyond the School (for example, a paid subscription belonging to the user, or an account the user opened on their own, clause 5.2), the panel tool is disabled and says so: the School asks Kluppy for the deletion, and Kluppy carries it out without undue delay after verifying the School's standing.
- The panel tool does not delete the records of the assessment module (reports issued, cut-points applied, teacher observations and the copies of reports prepared for families), which the School keeps as evidence of what was provided to it. The School can ask Kluppy to delete them, and Kluppy will do so without undue delay and within 30 days.
- The School may ask Kluppy to delete any other School Data, and Kluppy will do so within the same period.
After a licence withdrawal, the end of a trial or the end of the Service. Access is blocked and the data is kept, without being used for any other purpose, for 180 days: after a licence withdrawal (clause 5.2), after the end of a trial (clause 6) or after the end of the Service. This period follows the school year, so that a school that returns the following year keeps its students' progress. The School can download the lists and reports of its students from the administration panel, and may instruct Kluppy at any time to return the data (Kluppy provides, on request, a complete export in a structured format, JSON) or to delete it earlier. When the period ends, Kluppy deletes the data.
Backups and logs. Deleted data may remain in Kluppy's encrypted backups until they are overwritten: up to 7 days in point-in-time recovery and up to 35 days in daily backups. Backups are used only to recover from incidents; if data is restored, Kluppy deletes again any data that had already been deleted. Error logs are kept for 30 days. Records of administrative actions, of access by Kluppy's staff and of deletions are kept for 3 years, as evidence that data was handled as promised. The Data Retention Policy lists the period for each kind of record.
Data Kluppy must keep. Invoices and invoicing records are kept for the period required by Spanish tax law, only for that purpose. They contain data of the School and its payers, not Student Data.
On request, Kluppy will confirm the deletion in writing.
14. Confidentiality
Each party shall keep confidential the commercial, technical and operational information of the other party that it receives under these Terms. This obligation continues for 3 years after the end of the relationship, and for longer in respect of trade secrets for as long as they remain protected. The obligations on personal data continue for as long as Kluppy holds School Data.
A party may disclose confidential information where the law, a court or a competent authority requires it, including under freedom of information or public records laws that apply to the School, giving the other party prior notice where lawful.
15. Warranties and liability
15.1. Service warranty
Kluppy warrants that it will provide the Service with reasonable skill and care and that the Service will materially conform to its description in clause 3 and Schedule 1. Except as expressly stated in these Terms, Kluppy does not guarantee that the Service will be uninterrupted or error-free, that specific educational results will be achieved, or that AI-generated texts will be free of inaccuracies.
15.2. Base Amount and general limit
The Base Amount is the fees paid or payable for the Subscription Year in which the first event giving rise to a claim occurred or, for events after the end of the Service, for the last Subscription Year. For claims relating to a free trial, the Base Amount is GBP 1,000 for schools in the United Kingdom and USD 1,300 for schools in the United States.
To the maximum extent permitted by law, each party's total liability to the other for all claims attributed to a Subscription Year is limited to the Base Amount. Related events are attributed to the year of the first event.
15.3. Data protection, security and confidentiality
For breaches of the data protection, security or confidentiality obligations of these Terms, the Data Addenda, Schedule 1 or the DPA, each party's liability is limited instead to twice the Base Amount. The total liability of each party for all claims attributed to a Subscription Year, under this clause and clause 15.2, does not exceed twice the Base Amount, and claims under clause 15.2 remain subject to their own limit.
The reasonable costs of investigating a personal data breach caused by Kluppy's breach of these Terms, of notifying the persons affected and the authorities, and of restoring the data are direct losses recoverable under this clause.
15.4. Excluded losses
Neither party is liable to the other for indirect or consequential loss or for loss of profit. Kluppy is not liable to the extent that a loss is caused by the School's own conduct, such as the loss of data caused by the School or the use of the metrics against clause 11.3, or by events beyond Kluppy's reasonable control. This does not exclude Kluppy's liability for its own breach, or for its sub-processors, where it contributed to the loss.
15.5. Liability that cannot be limited
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, the School's obligation to pay the amounts due, or any other liability that cannot be limited or excluded by law. Refunds under clause 7.6 do not count towards the limits of this clause 15. These limits govern liability between the parties only: they do not restrict the rights of students, parents or other individuals, nor the powers of regulators.
16. Suspension and termination
16.1. By the School
The School may stop using the Service at any time. No partial refunds are given for unused periods, except as provided in clause 7.6.
16.2. By Kluppy
Kluppy may suspend or terminate the School's access if:
- the School materially breaches these Terms and does not remedy the breach within 15 business days of being notified;
- fraudulent activity is detected;
- a court or administrative order requires it;
- payment is overdue under clause 7.5.
16.3. Termination for breach
Either party may terminate these Terms if the other commits a material breach and does not remedy it within 15 business days of formal notice. If the School terminates for Kluppy's uncured material breach, Kluppy shall refund the prepaid fees attributable to the period after termination, and fees for that period cease to be payable.
16.4. Effects of termination
On termination, access to the paid features is revoked, the School may obtain an export of its data and the data is then deleted as described in clause 13.6.
17. Availability
Kluppy aims to keep the platform available 24 hours a day, 7 days a week. Interruptions may occur because of scheduled maintenance, urgent security updates, incidents at infrastructure providers (Google Cloud) or events beyond Kluppy's reasonable control.
18. Communications
The School agrees to receive the transactional communications needed to provide the Service (payment confirmations, invoices, renewal reminders, security notices and payment reminders). Kluppy will not send marketing communications without prior consent. Notices under these Terms may be given by email to the addresses given in the Quote or in the administration panel.
19. Governing law and jurisdiction
These Terms are governed by Spanish law, without prejudice to the mandatory data protection and student privacy laws that apply to the School and to Kluppy. The courts of Donostia-San Sebastián (Spain) have exclusive jurisdiction for any dispute arising from them, without prejudice to either party's right to seek urgent interim relief from any competent court.
Where a separate written agreement under clause 4.3 or 4.6 sets a different governing law or jurisdiction, that agreement applies.
20. Changes to these Terms
Kluppy may publish new versions of these Terms and of the other documents of the Terms Package. For a School with a Subscription Period in progress:
- material changes apply only from its next renewal, or earlier if the School agrees to them expressly in writing;
- changes strictly required by law may apply earlier, with at least 30 days' notice (or less if the law requires it) explaining why they are needed. - other changes, such as updated contact details or clarifications that do not reduce the School's rights, may apply with notice.
Changes never affect the price or the number of Licences of a Subscription Period already paid. Notices are given by email and in the administration panel.
